We are seeking an experienced and motivated individual to lead PagerDuty’s Corporate and Compliance legal functions.This is a unique opportunity to add immense value in a fast-paced, high growth, evolving and collaborative environment where your work will have a direct impact on company success. Reporting to the Sr. Vice President, General Counsel and Secretary, and running a small but mighty team, you will have front-line responsibility, both domestically and internationally, for public company reporting, governance, securities, compliance, policy compliance, legal compliance monitoring, and M&A deal structuring, agreement negotiation and diligence.You and your team will provide sophisticated, timely and business-friendly advice on a wide variety of matters, from the critical to the mundane, to every constituent from the CEO to individual contributors. You and your team will also assist with equity matters including section 16 reporting, and assist with M&A integration. The Legal team at PagerDuty is made up of sharp, authentic professionals based in SF and Atlanta, and expanding into EMEA. The role is open to remote locations in the US. We run several sub functions within the team: Commercial/Operations, Corporate/Compliance, Product/Privacy, and Employment, and they are growing and expanding as PagerDuty is.We work hard, but also make time to enjoy each other and get needed downtime. Primary Responsibilities• Strategy and Vision: Overall responsibility for strategy, planning, and implementation of legal programs and initiatives related to PagerDuty corporate priorities, including governance, executive compensation, stockholder outreach, and other key areas. • Governance and Securities: Oversee and provide support to PagerDuty’s board of directors and committees in the areas of governance, oversight responsibilities, executive compensation, public disclosures, proxy advisory firms, ESG and other public company obligations and best practices.Assist in corporate secretarial matters, including preparation of notices, materials and minutes for board of directors and committee meetings. • Corporate: Oversee and manage PagerDuty’s SEC filings, including periodic reports, interim reports, Section 16 reports, securities offerings, and other related filings. Assist with PagerDuty’s quarterly earnings, analyst interactions, ongoing stockholder engagement program, insider trading program and 10b5-1 trading plans. • M&A: Oversee, manage and provide strategic direction to PagerDuty’s Business Operations and Strategy team, including activities related to acquisitions, integration of acquired companies and strategic alliances.Develop and implement best practices for PagerDuty’s growing acquisition practice and teams. • General Compliance: Ensure compliance with company policies and SEC/NYSE rules and regulations, and monitor legal compliance schemes and processes across the company, including sales compliance, product compliance and other, and develop and deliver employee training programs on these topics. Consider, develop and implement guidelines and policies to comply with changes. Analyze changes in laws, regulations, policies and stockholder guidelines related to corporate matters in the U.S.and internationally. • Training: Create and manage education, information, training, and compliance programs regarding public company obligations, M&A and insider trading. • Outside Counsel: Manage outside counsel, control quality of services, and oversee efficient use of budget allocated to outside counsel fees. • Other: Undertake other responsibilities and projects as required as part of a small legal team.
