We are a growing IT company in California transitioning from a break-fix model to a Managed Service Provider (MSP). We require an experienced U.S.-licensed contract attorney to draft a robust suite of legal documents to protect our business, specifically against cybersecurity and IT liability risks. Our primary goal is to establish clear, legally defensible limitations of liability and comprehensive risk disclaimers in our new Master Services Agreement (MSA). - - - Crucial Requirement: Custom Legal Work Only - - -We are strictly seeking original, professional legal work drafted by a licensed attorney based on their expertise.We are NOT looking for agreements generated by large language models (AI), generic online templates, or simple boilerplate. Please confirm in your proposal that your work will be custom-drafted and based on your own legal judgment. Scope of Work & ObjectivesThe attorney will draft a cohesive suite of documents designed for maximum protection and flexibility across various industries (including Dental, Veterinary, and general SMBs). 1. Universal Master Services Agreement (MSA/PSA)This is the core foundation for all engagements.It must include:- Strong clauses for cybersecurity incident liability limits and clear delineation of roles. - Robust language on inherited environment protection (client systems we didn't initially set up). - Universal liability caps, risk disclaimers, and clear compliance exclusions (stating that client-side regulatory compliance, like HIPAA or PCI, is the client's sole responsibility). 2. Service Agreement TemplatesYou will prepare two core sets of agreements:- MSP/Project SOW Templates (Master Set): A set of flexible templates that cross-reference the universal MSA for our new business model (recurring managed services, specific projects, and consulting).These need to be versatile enough for multiple client types (e.g., clinics) and have easily customizable scope sections. - Break-Fix Agreement (or Simple MSA/PSA): A separate, streamlined Agreement for clients who only engage us on an hourly, ad-hoc basis. This document must clearly state that no ongoing management, monitoring, or security responsibility is implied. What We Need from YouJurisdiction & Expertise: Must be a licensed U.S. attorney with active practice experience. Deep expertise in drafting contracts for Managed Service Providers (MSPs) is mandatory.Location:Our business is based in California. Familiarity with the nuances of California contract law is a significant plus. Deliverables: Finalized, editable drafts of the Universal MSA, the Break-Fix Agreement, and the set of MSP/Project SOW templates. Process: Must include at least one round of revisions/consultation to ensure the language perfectly matches our service model and risk tolerance. CompensationWe are open to a Fixed-Price or Hourly engagement.
