Senior Corporate Governance Paralegal & Assistant Secretary

This role is critical in ensuring compliance with corporate governance laws and regulations, as well as providing support to our Board of Directors and senior management. If you are a detail-oriented, proactive and self-motivated individual with a strong background in corporate governance and securities law, we invite you to apply and become a valuable member of our team.Maintain a thorough understanding of corporate governance laws and regulations, both domestically and internationally, and ensure the company's compliance with them. Support the Board of Directors and senior management in corporate governance matters, including organizing and preparing materials for board meetings, drafting resolutions and minutes, and maintaining corporate records. Conduct legal research and analyze data to ensure the company is up-to-date on all relevant laws and regulations related to corporate governance.Collaborate with various departments to gather and organize information and documents as needed for governance-related tasks. Review and update corporate policies and procedures to ensure they are in line with current governance laws and regulations. Assist in the preparation and filing of required reports and disclosures with regulatory bodies, such as the Securities and Exchange Commission. Manage the organization and maintenance of corporate records, including stockholder lists, corporate filings, and other legal documents.Monitor changes in corporate governance laws and regulations and communicate updates to relevant stakeholders. Coordinate and facilitate annual shareholder meetings and other corporate events. Provide support to the legal team as needed, including drafting legal documents, conducting legal research, and managing deadlines. Maintain confidentiality and handle sensitive information with discretion. Demonstrate exceptional organizational skills and attention to detail in all tasks. Serve as a resource for colleagues regarding corporate governance matters and provide training as needed.Proactively identify and address potential regulatory or compliance issues.
