This role is a direct requirement for the DABA license. Key Responsibilities• Corporate Governance: Contribute to the effective functioning of the Board of Directors of BitMEX Limited, ensuring high standards of corporate governance are maintained.• Regulatory Compliance Oversight: Provide independent oversight of BitMEX Limited's compliance framework, policies, and procedures, with a particular focus on Bermuda's DABA regulations, AML/CTF requirements, and other financial services laws. • Strategic Input: Offer independent perspectives on strategic matters, risk management, and operational decisions, challenging management constructively where appropriate. • Risk Management: Review and assess the effectiveness of the company's risk management framework, ensuring that key risks, including operational, financial, and regulatory risks, are appropriately identified, monitored, and mitigated.• Stakeholder Representation: Act in the best interests of BitMEX Limited and its stakeholders, including customers, employees, and regulatory bodies. • Board Committee Participation: Participate in and potentially chair relevant Board committees (e.g., Audit Committee, Risk Committee, Compliance Committee) as determined by the Board. • Regulatory Relationship: Understand and contribute to the company's relationship with the Bermuda Monetary Authority (BMA) and other relevant regulatory bodies. Be prepared to act as BitMEX Limited’sSenior Representative pursuant to the DABA.• Reporting: Ensure appropriate and timely reporting to the BMA and other regulatory bodies as required by the DABA license and other applicable laws. • Independence: Maintain complete independence from the executive management and the BitMEX Group's day-to-day operations to ensure objective oversight. Qualifications• Extensive experience (e.g., 15+ years) in senior leadership roles within regulated financial services, preferably with exposure to digital assets or fintech. • Proven track record in corporate governance, risk management, and regulatory compliance at a Board level.• In-depth knowledge of Bermuda's regulatory landscape, particularly the Digital Asset Business Act (DABA) and anti-money laundering (AML) / counter-terrorist financing (CTF) regulations. • Previous experience as an independent director on the board of a regulated entity is highly desirable. • Strong understanding of financial markets, technology, and cybersecurity risks. • Excellent communication, interpersonal, and analytical skills. • Ability to challenge constructively and provide independent judgment.• Must be based in Bermuda and legally eligible to work in Bermuda. • Why BitMEX?
